Terms of Service

These Terms of Service apply to the online store operated by Makali Inc. ("MAKALI", "we", "our", or "us"). By accessing this store, creating an account, submitting an inquiry, or placing an order, you agree to these terms.

1. Store purpose

MAKALI introduces selected Japanese beauty, food, wellness, hair care, and lifestyle products to overseas buyers. The store currently focuses on B2B wholesale and case-based orders, while future B2C sales may also be offered through the same MAKALI brand site.

2. Account and wholesale access

Wholesale prices, case pricing, and certain product details may be available only after login. MAKALI may review buyer information, order history, destination country, shipping conditions, and product restrictions before confirming an order.

3. Product information

We make reasonable efforts to provide accurate product names, images, JAN codes, case quantities, weights, ingredients, and product features. Product packaging, specifications, availability, and manufacturer information may change without prior notice.

4. Orders and acceptance

Submitting an order or inquiry does not guarantee acceptance. An order is confirmed only after MAKALI accepts the order and, where necessary, confirms product availability, shipping feasibility, destination-country requirements, and payment conditions.

5. Prices, currency, and discounts

Prices may be shown in Japanese yen or another display currency depending on store settings and market configuration. Reference retail prices in Japan are provided for context and are not wholesale prices. Discounts apply only to eligible product subtotal unless otherwise stated. Shipping, duties, taxes, customs fees, and logistics charges are not discounted.

6. Payment

Available payment methods are shown at checkout or agreed separately with MAKALI. For B2B or quote-based orders, MAKALI may issue a separate invoice or request confirmation before shipment.

7. Shipping, customs, and import compliance

International shipping availability depends on destination country, product category, invoice value, carrier rules, customs restrictions, and local import regulations. Buyers are responsible for confirming that products can be imported, sold, advertised, and used in their destination market. MAKALI may cancel, hold, or request additional confirmation for orders that appear restricted or impractical to ship.

8. Authorized distribution and resale

Purchasing from MAKALI does not automatically grant exclusive distribution rights, brand representation rights, trademark rights, or authorization to make regulated product claims. Authorized distribution discussions are handled separately and must be confirmed in writing by MAKALI.

9. Cancellations, returns, and refunds

Cancellations, returns, and refunds are handled according to our Refund Policy. International orders, wholesale case orders, cosmetics, food, and opened or used products may be restricted from return except where required by applicable law or approved by MAKALI.

10. Intellectual property

Product images, brand materials, descriptions, logos, and other content remain the property of MAKALI, the manufacturer, or the relevant rights holder. They may not be copied, modified, or used for resale, advertising, or marketplace listings without permission.

11. Limitation of liability

To the maximum extent permitted by law, MAKALI is not liable for indirect loss, lost profits, customs delays, carrier delays, regulatory refusal, destination-country import restrictions, or force majeure events including natural disasters, war, strikes, pandemics, system failures, or logistics disruptions.

12. Governing law

These terms are governed by the laws of Japan. Any dispute related to these terms or transactions with MAKALI will be subject to the exclusive jurisdiction of the Fukuoka District Court in Japan as the court of first instance, unless otherwise required by applicable law.

13. Updates

MAKALI may update these terms from time to time. Updated terms become effective when posted on this store.

Current EMS shipping and import notice

Direct checkout shipping is currently configured for Hong Kong and Singapore only, using EMS rates provided by Sekai Logi and calculated by total registered case shipping weight.

For all other destinations, buyers should submit a product or cart inquiry. MAKALI will review the destination country, product category, quantity, documentation needs, and available logistics route before confirming whether shipment is possible.

Checkout availability, shipping fee display, or acceptance of payment does not guarantee customs clearance or import approval. Cosmetics, food, wellness products, hair care products, electrical items, and lifestyle products may be subject to destination-country import restrictions, product registration, ingredient rules, labeling rules, customs inspection, duties, taxes, and local permits. The buyer/importer is responsible for confirming local import, sale, labeling, and compliance requirements.

MAKALI may hold, cancel, refund, or request additional confirmation for an order if there is a known logistics, documentation, customs, or import-compliance concern.
